What is The Entrepreneurs Club?
The Entrepreneurs Club
provides hard-to-find sources of equity finance for a broad range of companies by matching their needs to the financial resources of private equity investors, for the benefit of both.
Companies will only be featured by the Entrepreneurs Club if they are at the point at which they are ready to enter negotiations with interested investors, and have business plans and accounts that will stand up to the necessary due diligence that an investor will insist on.
The Entrepreneurs Club will:
- Give initial advice on what is required to make your proposal ‘investor-ready’;
- Prepare a brief summary outlining your business and its funding requirements, which we call a ‘Hotshot’;
- Refer to the business at our next Entrepreneurs Club lunch which you and a colleague will be welcome to attend;
- Consider whether the business is suitable for one of the presentations at the lunch;
- Circulate the ‘Hotshot’ introducing your business to our investor members;
- Provide assistance in negotiations with investors and lenders;
- Provide ‘Hand Holding’ through the whole process to the completion of funding.
Who is The Entrepreneurs Club?
The Entrepreneurs Club has been operating for over three years and holds events across the country. It is the first time that these events however have been held in London. Unquoted feel that this is a vulnerable tie up and will allow investors to gain early access to early stage investments. The Entrepreneurs Club has in the past raised substantial funding for a range of companies with investments ranging from £50,000 to £1,000,000. Investing as an Angel gives investors an opportunity for superior returns on their investment. Investors who invest in this way usually take an active role in the company to protect and monitor their investment.

Founded by the Corporate Finance team at Leeds based Fox Hayes Solicitors, The Entrepreneurs Club was launched in September 2000 and in addition to Leeds, now operates in the East Midlands and Cheshire. It provides hard-to-find sources of equity finance for a broad range of companies by matching their needs to the financial resources of private equity investors, for the benefit of both. To date the Entrepreneurs club has raised over £8.5m for companies.

Where is the need for such a network?
Previously, ground level investment opportunities have been restricted to certain privileged clients of brokers and institutions generally via private placings. Unquoted.co.uk however can now offer the chance for its members to notify fundraisers of their interest in unquoted and pre-IPO opportunities. Through the Unquoted Angels database, you can now automatically be offered selected opportunities that meet your investment criteria. What is a private placing?
A private placing is generally a restricted offer to up to 50 individuals or institutions to purchase equity in a business or venture. As a private placing does not constitute a formal public offer of stock, the offer documents do not have to be in the form of a formal prospectus.
What are the risks in such investments?
By their very nature such investments will be very risky, and you should always seek professional advice before entering into any such arrangement. You should also assure yourselves of the credentials of the party making the offer. Any investment in an unquoted or pre-IPO company means by its very nature that your cash may be tied up for a long time, and it may be difficult to realise your investment at a later stage.
So what are the benefits of being involved in a private placing?
Whilst certainly not for everyone, an investment in a pre-IPO company can give substantial rewards if the company progresses to an IPO, or is even sold in a trade sale to an attractive bidder. These are generally very high risk, high reward situations.
So how will the Unquoted Angels database work?
Database Registration is easy and takes only a few minutes to complete. Users register their contact details, a demographic profile of themselves and details of their investment criteria.
What then happens?
Companies and their advisors looking for initial stage capital will contact Unquoted.co.uk with a request to search the database for particular investors that may meet their selection criteria. The client will present us with their profile of investors who they believe may be interested in their offering. We will then run this profile through the database resulting in a list of individuals who meet their requirements in terms of investment profile. An alert will be sent via email notifying you of the interest, and your contact details will be passed to the client, who will then contact you directly. It is then up to you whether you decide to proceed any further. Unquoted.co.uk will take no part in the process of the fund raising itself and will merely act as a facilitator for the database members. It will be your responsibility to ensure that any company offering an investment opportunity meets all current UK investment regulations.
What about my privacy, will this not lead to lots of junk mail etc?
Unquoted.co.uk values your privacy and is registered under the Data Protection Act. When you register with this service you authorise us to pass your details to certain partners who will be strictly vetted. The selected partner will sign a binding agreement stating that they will make use of your details for this single transaction. The agreement will also state that the client can only contact you by your preferred method. Unquoted.co.uk may also use the database to notify you of products and services of selected partners that we believe, based on your profile, you may be interested in. This contact option is selectable by you, and can be changed at any time. You can be assured that we respect your privacy and will uphold it at all times.
Is there a charge for this service?
Yes, for Unquoted Angels. There is a small annual administration charge of £30. This is to ensure that the quality of the database is maintained and to ensure that registration is restricted to those serious about their membership entry.
Am I under any obligation?
No, but we would ask that you only register if you are seriously interested in getting involved. Once you are registered, you will have the ability to suspend your membership during periods where you may be fully invested elsewhere, you will also be able to cancel your membership at any time.
Okay, I want to register, what's next?
Membership of "Unquoted Angels" is not for everyone, investment levels will generally be higher than normal IPO minimum levels, and you should be an experienced and active investor. Registration for those members who believe they meet these criteria takes a few minutes and involves completing a short questionnaire outlining your investment criteria. Once you have registered your membership status of the site will be upgraded allowing you access to the Unquoted Angels discussion forum where announcements and news will be distributed.
